Terms of Service

Welcome to TokenDock. These Terms of Service govern your access to and use of TokenDock’s websites, API endpoints, hosted console, billing tools, and related services. By using TokenDock, you agree to these terms.

1. Service provider

TokenDock is operated by Cloudzeta Solutions Limited, a company incorporated in the Hong Kong Special Administrative Region. TokenDock provides OpenAI-compatible gateway access to selected third-party AI models, including models from supported upstream providers.

2. Service access

TokenDock may modify, add, remove, restrict, or discontinue models, routes, pricing metadata, and service features to maintain reliability, security, legal compliance, provider compatibility, or commercial viability.

You are responsible for maintaining the confidentiality of your account credentials and API keys. Activity through your account or API keys may be treated as your activity.

3. Acceptable use

You agree to use TokenDock only for lawful purposes and in compliance with these terms, applicable laws, and the safety and usage policies of the underlying model providers.

You must not use TokenDock to:

  • violate the laws of Hong Kong, your jurisdiction, or any jurisdiction where your users or workloads operate;
  • abuse, overload, interfere with, degrade, scan, or circumvent TokenDock systems, access controls, billing controls, or rate limits;
  • attempt to access models, aliases, pricing paths, administrative tools, or customer data that you are not authorized to use;
  • submit content or requests that violate upstream provider policies or applicable law;
  • resell, sublicense, or redistribute TokenDock access in a way that bypasses TokenDock’s controls or written commercial terms.

4. Billing, credits, and payments

TokenDock operates on prepaid credits unless otherwise agreed in writing. Credits are consumed based on usage records, model pricing, and billing calculations shown or made available through TokenDock.

Payment processing is handled by Stripe. TokenDock does not store or process your credit-card details. Stripe may collect and process payment information under its own terms and privacy policy.

When you purchase credits, the wallet credit added to your TokenDock account may be less than the total amount charged if service fees, taxes, or similar payment-related charges apply. TokenDock credits only the purchased credit amount to your wallet and does not credit service-fee amounts.

Unless required by law or expressly stated otherwise, prepaid credits are not cash accounts, are not interest-bearing, and are not refundable once purchased.

5. Model providers and routing

TokenDock provides a managed routing layer for a selected set of supported models. Users are not responsible for choosing or managing upstream provider routes. TokenDock may select, change, retry, or route across supported providers and regions to improve availability, pricing, and reliability.

Provider availability and model behavior can still change, but TokenDock is responsible for managing provider routing decisions within the service. Provider-side cost changes are not automatically passed through to users; users are charged according to TokenDock’s published pricing or agreed commercial terms.

6. Customer data

You retain ownership of prompts, inputs, uploaded content, and model responses that you submit through TokenDock. TokenDock does not use your prompts or responses to train AI models. Our data handling practices are described in the Privacy Policy.

7. Service availability

TokenDock aims to provide a reliable gateway, but service may be interrupted by maintenance, provider availability, internet routing issues, regional network congestion, abuse mitigation, or failures outside TokenDock’s direct control. TokenDock does not guarantee uninterrupted or error-free service.

8. Suspension and termination

TokenDock may suspend, restrict, or terminate access if we reasonably believe your account, API keys, traffic, or usage violates these terms, creates legal or security risk, causes service degradation, or threatens upstream provider access.

9. Disclaimer

TokenDock and all related services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, TokenDock disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

10. Limitation of liability

To the maximum extent permitted by Hong Kong law, Cloudzeta Solutions Limited and TokenDock will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute service costs.

To the maximum extent permitted by law, our total liability for any claim relating to TokenDock is limited to the amount you paid to TokenDock for the service in the one month before the event giving rise to the claim.

11. Changes to these terms

We may update these terms from time to time. When we make material changes, we will update the effective date and may provide additional notice through the service or other reasonable means.

12. Governing law

These terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Disputes arising from these terms or your use of TokenDock are subject to the courts of Hong Kong, unless applicable law requires otherwise.
